Terms of Service

1. Description of Service

Velva is a professional node-based AI workstation that provides visual workflow creation tools for image generation, video generation, 3D model generation, video editing, color grading, and photo editing. The Service connects to third-party AI model providers to execute generative tasks on your behalf.

2. Account Registration

To use Velva, you must create an account using Google, GitHub, or Apple authentication. You are responsible for:

• Maintaining the security and confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

3. Payment & Subscriptions

All payments are processed securely via Stripe. By subscribing to a paid plan or purchasing credits, you agree to Stripe's Terms of Service. Key terms:

• Subscriptions are billed on a recurring basis (monthly or annually)
• Credit top-ups are available as one-time purchases
• All prices are listed in USD and charged at the time of purchase
• You authorize Velva Design Labs FZE LLC to charge your payment method on file for all fees incurred
• Subscription fees are non-refundable for partial billing periods

4. Credit Policy

Velva operates on a credit-based system. Credits represent a license to access AI generation tools on the platform. Key terms:

• One credit is consumed per successful generation task
• Free accounts receive a limited monthly credit allocation
• Paid subscriptions provide increased monthly credits and additional features
• If an AI generation fails due to a service error, credits will be automatically refunded to your balance
• Unused credits expire at the end of each billing cycle and do not roll over
• Credits hold no cash value and cannot be transferred between accounts

5. Refund Policy

Due to the high operational costs of GPU processing required to execute AI generation tasks, all sales are final. Subscription fees and credit purchases are non-refundable except where required by applicable law. If a generation task fails due to a platform error (not a user error), the credits consumed will be automatically returned to your account balance.

6. Cancellation

You may cancel your subscription at any time. Cancellation can be managed through the Stripe Customer Portal, accessible from the "Settings" page within Velva. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• No further charges will be made after cancellation takes effect
• Your account will revert to the free tier at the end of the billing period
• Any remaining credits in your balance will remain available until used

7. Content Rights

Your Content: You retain ownership of the media you generate using Velva, subject to the terms and licenses of our underlying AI model providers including fal.ai, Kling, Veo, Sora, Rodin, and others. You are responsible for ensuring your use of AI-generated content complies with applicable laws and the terms of the respective model providers.

Our Platform: The Velva platform, including its user interface, node system, code, and proprietary technology, is owned by Velva Design Labs FZE LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the platform.

8. Acceptable Use

You agree not to use Velva to:

• Generate content that is illegal, harmful, threatening, abusive, or violates any applicable laws
• Create deepfakes or deceptive media intended to mislead or harm individuals
• Infringe upon the intellectual property rights of others
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated scripts or bots to access the Service without authorization
• Resell or redistribute access to the Service without written permission

9. Third-Party Services

Velva integrates with third-party services including AI model providers (fal.ai, Kling, Veo, Sora), cloud storage (Cloudflare R2, Cloudflare Stream), payment processing (Stripe), and authentication providers. Your use of these services through Velva is subject to their respective terms of service. Velva is not responsible for the availability, performance, or policies of third-party services.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any losses resulting from service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law, Velva Design Labs FZE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid to Velva in the 12 months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, and we may delete your cloud-stored data after a reasonable retention period.

13. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use of Velva after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Sharjah and the federal laws of the United Arab Emirates. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Sharjah, UAE, following good-faith negotiation between the parties.
